JBL Best American Band Contest ("Contest")

  1. Official Rules. *Rules clarified and corrected below*
    The Contest is subject to these Official Rules (the "Official Rules"). No purchase is necessary to enter or win. A purchase or payment will not increase your chances of winning. The Contest is sponsored by Harman Professional, Inc., 8500 Balboa Blvd., Northridge CA 91329 (the "Sponsor").

    Eligibility. The Contest is open to a Group of individuals that totals no more than six (6) individuals (“Groups”) who are legal residents of the United States or the District of Columbia (excluding Rhode Island, Montana, Alaska, Hawaii and U.S. military installations in foreign countries and all other U.S. territories and possessions) and are at least twenty-one (21) years of age at the start of the Contest. By participating in the Contest, Group agrees to be fully and unconditionally bound by these Official Rules, the decisions of Sponsor and, as applicable, the Contest judges. No Group may have a current recording contract or be bound by any obligations to any third party that would conflict with the rights, or interfere with the Sponsors’ exercise of the rights, granted herein in accordance with these Official Rules.
  2. Contest Restrictions. Employees of Sponsor, its affiliates, Contest supervisors or judges, and members of their immediate families, and each of their respective parent companies, subsidiaries, affiliates, officers, governors, owners, distributors, retailers, advertising/promotion agencies (collectively "Released Parties"), and members of their immediate families (parent, spouse, sibling or child and their respective spouses, regardless of where they reside) and those living in the same household of each, whether or not related, are not eligible to participate or win. The Contest is subject to all applicable federal, state and local laws, rules and regulations. Void wherever else restricted or prohibited by law.
  3. Social Media Platforms: In addition to these Official Rules, Groups must also abide by the terms of use for Sponsor's website, and YouTube's Privacy Policy, Terms of Service) and Community Guidelines, as well as the policies, terms and guidelines of any other social media platform that this Contest is promoted on. Group may not inaccurately tag content. This Contest is in no way sponsored, endorsed or administered by, or associated with YouTube or any other social media platform on which it may be promoted. YouTube and all social media platforms on which this Contest is promoted are also included in the definition of "Released Parties."
  4. Privacy Disclosure. All personal information collected by Sponsor will be used for administration of the Contest. In addition, Groups and Groups may receive email correspondence from, or on behalf of Sponsor subject to Sponsor’s privacy policy. Sponsor uses reasonable commercial efforts to comply with Federal CAN-SPAM guidelines, and Groups and Groups may subsequently opt-out of receiving further emails by following the opt-out instructions contained in the email. Please refer to Sponsor’s privacy policy located at for important information regarding the collection, use and disclosure of personal information by Sponsor.
  5. Contest Period. The Contest begins at 12:00 a.m. Pacific Daylight Time (“PDT”) on May 1, 2017, and ends at 11:59 p.m. PDT on May 31, 2017 (the "Contest Period").

    Entries will not be accepted if received after the Contest Entry End Date.
  6. How to Enter the Contest. Online entries only. To enter the Contest, Group must complete and submit an online contest entry form ("Entry Form") found on the Contest website located at In addition to complying with all the terms of these Official Rules, including but not limited to Section 9 below, Group must include an active link to a YouTube video of Group performing their own musical composition in a live setting (“Submission”). The Submission must be a live recording and not pre-recorded music synchronized to live footage. Group can only use one YouTube link for the Submission. Group’s Submission must be at least ninety (90) seconds but not more than ten (10) minutes in duration. Any late Entry Forms and/or Submissions are automatically disqualified.

    Groups are responsible for the information they provide on the Entry Form and Submission, and Sponsor reserves the right to reject or cancel any entries (notwithstanding prior acceptance or confirmation by Sponsor) for any incomplete or inaccurate information provided by Groups, or otherwise at Sponsor's discretion.

  7. Submission Guidelines and Restrictions. Each Group, by entering any Submission in the Contest, hereby warrants and represents that the Submission meets the following guidelines:

    Submission Guidelines:
    • Limit of one (1) Entry Form and Submission per Group. Multiple Entries will not be considered;
    • Submission must comply with these Official Rules, with YouTube’s Terms of Service (located at and any Terms of Service on the website (if any);
    • Submission must be in digital format and must comply with the posting requirements set forth above and as posted on the website;
    • Submission must be an original work (covers will not be accepted), created entirely by the Group, with original material, materials controlled by Group and/or materials to which Group has the right to use throughout the Contest and after the Contest as contemplated hereunder;
    • Submission must be created specifically for the Contest (videos that were submitted to any other contest or competition will not be accepted);
    • Submission must be a minimum of 90 seconds in length;
    • Submission be a maximum of ten (10) minutes in length;
    • Submission must be uploaded to YouTube in any format acceptable to YouTube; and
    • Submission must comply with YouTube terms of service and specifications for user submissions and/or video uploads, located at, or as may otherwise be posted on YouTube’s website.

    Submission Restrictions.
    • Submission must not contain material that violates or infringes upon another's rights, including but not limited to privacy, publicity or intellectual property rights (including, without limitation, trademark or copyright infringement);
    • Submission must not contain trademarks, logos, or trade dress owned by others or promote or advertise any brand or product, without written permission, and must not contain sensitive personal information;
    • Submission must not contain advertising or commercial content;
    • Submission must not violate the moral rights of others;
    • Submission must not depict conduct that is dangerous, illegal, or embarrassing to others;
    • Submission must not disparage Sponsor or its products or services, Sponsor's competitors or their products or services, or any other person or party affiliated with the Contest;
    • Except for any YouTube videos used by Group for their entry, Submission must not contain company names, product names, brand names or trademarks other than those owned by Sponsor, which Group has a limited license to use for this Contest;
    • Submission must not contain the names, likenesses, or other factors identifying any celebrities and/or other public or private figure, living or dead, without permission;
    • Submission must not contain material that is inappropriate, indecent, obscene, profane, hateful, tortious, defamatory, slanderous, violent or libelous;
    • Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;
    • Submission must not promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous or any particular political agenda or message;
    • Submission must not contain materials embodying the names, likenesses or other identifying indicia of others, other than Group without written permission;
    • Submission must not contain material that is unlawful, or endorses or promotes unlawful conduct; and/or
    • Submission must not contain material with which the Sponsor does not wish to associate itself, in its sole discretion.
  8. Entry Judging. Judging will be completed in three (3) rounds. All entries will be prescreened to insure the entries have correctly met the Submission Restrictions and guidelines and meet with Sponsor’s general standards and practices prior to any judging (“Qualified Submissions”).

    Round One. On or around June 1st, 2017, all Submissions will be reviewed and scored by a panel of Sponsor’s employee judges, taking into consideration the following criteria on a 100-point scale:

    1. Musical Proficiency (50 points)
    2. Stage Presence (50 points)

    The ten (10) top-scoring Groups will move on to round two of judging (“Semifinalists”). In case of a tie, the tying Submissions will be re-scored with double weight given to Musical Proficiency.

    Sponsor will notify those Groups who are selected by Sponsor as Semifinalists via the email address provided by Group in their Entry Form. Group Semifinalists must supply the original video file that was entered in order to be considered for the second round of judging and also sign a waiver allowing Sponsor to share the video file with celebrity judges and on Sponsor’s social media channels. Sponsor reserves the right to disqualify any Submission that it believes, in its sole discretion, does not meet any of the terms and conditions of these Official Rules.

    Round Two. On or around June 5th, 2017, all Semifinalist Submissions will be reviewed and scored by a panel of four (4) judges comprised of music industry professionals selected by Sponsor at its sole discretion, taking into consideration the following criteria on a 100-point scale:

    1. Originality/Creativity (50 points)
    2. Stage Presence (50 points)

    The five (5) top-scoring Semifinalists will move on to round three of judging (“Finalists”). In case of a tie, the tying Submissions will be re-scored with double weight given to Originality/Creativity. Sponsor will notify those Semifinalists who are selected by Sponsor as Finalists via the email address provided by Group in their Entry Form.

    Round Three. On or around June 12, 2017, Sponsor will upload the Finalists’ Submissions to Sponsor's "JBL Professional" official YouTube channel(s) and Facebook page, where the public can “like” their favorite Finalist Submission. The Finalist with the most “likes” by 9:00 a.m. PDT on June, 30, 2017, will be deemed the potential grand prize winner. In the event that there are two (2) or more Submissions with the same highest total number of YouTube and Facebook "likes", then the grand prize winner will be the Submission that has the least number of YouTube “dislikes”, and in the event that there are still two (2) or more such Video Entries that are tied, then the grand prize winner will be the Submission that has the highest average score given by the judges selecting the Contest Finalists.

    For purposes of these Official Rules, Online Entries, and Video Entries are collectively referred to as "Entries". All of the judges' decisions (at each stage of the Contest) are final and binding upon the Groups.

  9. Prizes.

    Prize ARV. If eligible under these Official Rules, one (1) Group will be awarded one (1) grand prize package and two (2) Groups will be awarded one (1) runners-up prize (the grand prize winner and the runners-up are collectively referred to as the "Contest Winners"). The total approximate retail value ("ARV") for all prizes offered during the Contest Period is $16,748.00.

    Grand Prize. The grand prize winners will be awarded a performing slot (Date, Time, and Specific Location TBD) at JBL FEST being held in Las Vegas July 27th-29th, 2017, a gift card in the amount of $1,000.00, four thousand dollars ($4,000) cash, roundtrip airfare (coach/economy on commercial airline selected by Sponsor at its discretion) to Las Vegas, NV, ground transportation to and from the airport/hotel, and three (3) nights' hotel stay (shared rooms/double occupancy) at the Hard Rock Hotel and Casino (up to 6 individuals if a Group). In addition the Grand Prize winning band will receive a JBL EON ONE PRO and up to six (6) tickets for JBL FEST.

    Runners-up Prize. The runners-up winners will be awarded one (1) JBL EON ONE PRO with an ARV of $1,874.00 each.

    All elements of the grand prize or the runners-up prize will be awarded to the individual who is the owner of the email address listed on the Entry Form (“Contact”).

    Prize Restrictions. Contest Winners are not entitled to any surplus between actual retail value of prize and stated ARV and any difference between stated ARV and actual value of the prize will not be awarded. No substitution, transfer, or cash redemption of any prizes permitted, provided however that Sponsor reserves the right to substitute a prize with another prize of equal or greater value should the advertised prize become unavailable for any reason. Contest Winners cannot assign or transfer their prize to another person or business.

    The Contest winning Group must travel together on the same itinerary and must have all necessary identification and travel documents. Choice of airline and hotel shall be at the discretion of Sponsor. Once flight arrangements and hotel reservations have been issued, they shall not be changed, re-sold, endorsed, exchanged, transferred or in any other manner modified by Contest Winner. Travel arrangements are subject to availability and to the terms of conditions of the airline and hotel. Contest Winner is solely responsible for any other unspecified expenses related to the travel prize, including without limitation: meals, ground transportation, gratuities, incidental hotel expenses, baggage charges, upgrades and any and all federal, state, and local taxes on prize, including special airport taxes and fees. The Contest Winner must sign a liability release and the signed release must be received before travel will be booked. Sponsor reserves the right to alter the request to accommodate availability.

    Liabilities. Contest Winners are solely responsible for any and all federal, state, and local taxes on prizes (including income taxes). All activities related to the prize are at the Contest Winners' own risk and subject to whatever restrictions are imposed by the entities that govern such activities. Contest Winners may be issued an IRS Form 1099 for the ARV of any awarded prize.

    Unclaimed Prizes. If the prize notification or any prize is returned as undeliverable, or if a Contest Winner may not accept or receive a prize for any reason, the prize may be forfeited. Sponsor shall have no obligation to make multiple attempts to contact potential winners. Unclaimed prizes will not be awarded.

  10. Notification of Contest Winners.

    Notification. The Contest Winners will be notified by email on or before July 5th, 2017. The Contest Winners will be required to respond as directed within three (3) days of attempted notification. The Contest Winners may be required to complete and return an affidavit of eligibility and release ("Release") within 3 days from the date of notification before Sponsor awards any prize.

    Alternate Contest Winners. An alternate Contest Winner may be selected by Sponsor from among the remaining eligible Submissions based on the next highest total number of YouTube and Facebook "likes" if the Contest Winner fails to respond to notification of winning as required by these Official Rules, fails to sign and return the Release as required by these Official Rules, or cannot accept or receive the prize for any reason.

    Prize Delivery. The Grand Prize winner will receive the prizes consisting of travel accommodations via email within 14 days of notification, gift card and cash prize (payment method to be determined by Sponsor) via U.S. mail (or other delivery method designated by Sponsor), and the JBL EON ONE PRO by U.S. mail (or other delivery method designated by Sponsor) within approximately ninety (90) days of the date on which the Sponsor receives the completed, signed Release from the Grand Prize winner, dependent upon availability and nature of prize. The Runners-up winners will receive the JBL EON ONE PRO by U.S. mail (or other delivery method designated by Sponsor) within approximately ninety (90) days of the date on which the Sponsor receives the completed, signed Release from the Runners-up winner.

    Acceptance of any prize shall constitute and signify each Group’s agreement and consent that Sponsor and may use the Group’s name, city, state, likeness, Submission and/or prize information in connection with the Contest for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law.

  11. Publicity. By participating in the Contest, all Groups agree to be bound by these Official Rules and irrevocably grant the Sponsor and their respective successors, assigns and licensees the right to use such Groups' musical performance(s), musical composition(s), lyrics, name, voice, photograph, video or film clips, biographical information and/or other visual likeness in any and all media or formats known or later developed without any further compensation, permission or notification for any purpose, including without limitation, commercial, advertising and promotional purposes in connection with Sponsor's website and Sponsor's YouTube and other social media accounts.
  12. Intellectual Property.

    License to Submissions. By entering a musical performance, musical composition, lyrics, photo, video recording, audio recording, or text as a Submission into the Contest, Group warrants and represents that he/she personally and solely composed the musical performance and/or lyrics, took the photo, recorded the video or audio, or composed the written text and has any and all rights to such composition, lyrics, photo, video or audio recording, or text. By entering a Submission, Group grants Sponsor an irrevocable, royalty-free, perpetual, transferable, worldwide right (without need of any notice to or approval from Group) to use, reproduce, edit, market, store, distribute, have distributed, publicly and privately display, publicly and privately perform, transmit, have transmitted, create derivative works based upon, and promote any Submission, as such may be edited and modified by the Sponsor in its sole discretion, for editorial, commercial, promotional and all other purposes, including posting on any websites.

    Submission Covenants. If the Submission contains any materials or elements that are not owned by the Group, and/or which are subject to the rights of third parties, the Group is responsible for obtaining, prior to entry of the Submission, any and all releases and consents necessary to permit the use and exhibition of the Submission by Sponsor in the manner set forth in these Official Rules, including, without limitation, name and likeness permissions from any person who appears in or is identifiable in the Submission. Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any Group at any time. Failure to provide such proof may, if requested, render a Submission null and void. By entering a Submission, Group warrants and represents that he/she and any persons appearing or who are identifiable in the Submission consent to the entry and use of the Submission in the Contest and to its use as stated in these Official Rules.

  13. Contest Interference.

    Impairment. Any portion of the Contest may be canceled, suspended and/or modified, in whole or in part, if in Sponsor's opinion any fraud, technical failure or other factor beyond Sponsor's control impairs the integrity or proper functioning of the Contest. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Contest, to be acting in violation of these Official Rules, or to be acting in a disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass any other person.

    Sponsor's Remedies.  Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Entrant may not enter with multiple identities or use any automated system, bot or other device or artifice to enter or obtain more than the maximum number of qualified Entries. Any attempt to deliberately damage or undermine the legitimate operation of the Contest may be in violation of criminal and civil laws and will result in disqualification from participation in the Contest. Should such an attempt be made, Sponsor reserves the right to seek remedies and damages to the fullest extent of the law, including criminal prosecution.

  14. Limitations of Liability.

    Group's Sole Remedy. If for any reason a Submission is confirmed to have been erroneously deleted, lost or otherwise destroyed or corrupted, the Groups's sole remedy is another Submission in the same Contest during the Contest Period (subject to availability of reserved time slots).

    Indemnification. Contest is subject to these Official Rules. By participating, Groups agree: (i) to be bound by these complete Official Rules and the decisions of Sponsor which shall be final and binding; and (ii) to waive any right to claim ambiguity in the Contest or these Official Rules, except where prohibited by law. By accepting a prize, Group also agree to release, discharge, indemnify and hold harmless Sponsor and the Released Parties from and against any claims, actions, liability, loss, injury or damages, disability, attorneys' fees, and costs of litigation and settlement, as well as any liability due to any injuries, damages or losses to any person, including, without limitation death to GroupGroups or any third party, or damages or losses to property of any kind resulting in whole or in part, directly or indirectly, by any reason, from use, redemption, acceptance, possession, ownership, or misuse of any prize; participation in any activity, event, or excursion offered in connection with the prize; use of any facility, service and/or accommodation related to the prize; or participation in any Contest-related activity or participation in this Contest.

    No Liability. The Released Parties will not be liable for late, lost, delayed, misdirected, incomplete unreadable, inaccurate, garbled or unintelligible Submissions, communications or declarations, regardless of the method of transmission; telephone system, telephone or computer hardware, software or other technical malfunctions, lost connections, disconnections, delays or transmission errors; data corruption, theft, destruction, unauthorized access to or alteration of Submissions or other materials; any injuries, losses or damages of any kind caused by the prize or resulting from acceptance, possession or use of a prize, or from participation in the Contest; or any printing, typographical, administrative or technological errors in any materials associated with the Contest.

    Technical Malfunctions. Without limiting the generality of the foregoing, Released Parties are not responsible for computer malfunctions, network connections, email delivery problems, Sponsor or third party systems failure or incompatibility, typographical, technical or key-stroke errors, or interruptions in internet services, and for incomplete, illegible, misdirected, misprinted, late, lost, damaged or stolen notifications.

    Force Majeure. In the event Sponsor is prevented from continuing with the Contest by any event beyond its control, including but not limited to fire, flood, earthquake, explosion, labor dispute or strike, act of God or public enemy, or any federal, state or local government law, order, or regulation, or other cause not reasonably within Sponsor's control (each a "Force Majeure" event or occurrence), then subject to any governmental approval which may be required, Sponsor will have the right to modify, suspend, or terminate the Contest. If the Contest is terminated before the designated end date, Sponsor may, if possible, select the Contest Winners from all eligible, non-suspect Submissions received as of the date of the event giving rise to the termination.

  15. Severability. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not included.
  16. NATURE OF RELATIONSHIP / WAIVER OF EQUITABLE RELIEF: Each Group hereby acknowledges and agrees that the relationship between the Group and the Sponsor is not a confidential, fiduciary, or other special relationship, and that the Group’s decision to provide the Group’s Submission to Sponsor for purposes of the Contest does not place the Sponsor in a position that is any different from the position held by members of the general public with regard to elements of the Group’s Submission. Each Group acknowledges and agrees that the Sponsor does not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the Group’s copyright in and to the Submission. Finally, each Group acknowledges that, with respect to any claim by Group relating to or arising out of any Sponsor actual or alleged exploitation or use of any Submission or other material submitted in connection with the Contest, the damage, if any, thereby caused to the applicable Group will not be irreparable or otherwise sufficient to entitle such Group to seek injunctive or other equitable relief in any way. Some Groups may have additional rights, depending upon their jurisdiction.
  17. Governing Law and Venue. Disputes regarding these Official Rules and/or this Contest will be governed by the internal laws of the State of California. By entering, Group consents to jurisdiction in the federal and state courts of California for the resolution of any and all disputes.Group
  18. Disputes. Decisions of Sponsor and the judges (at each stage of the Contest) are binding and final. No claimant in any dispute involving Sponsor will be entitled to claim or obtain indirect, punitive, incidental or consequential damages. Sponsor's failure to enforce any provision in these Official Rules will not constitute a waiver of that provision. As a condition of participating in this Contest, Group waives any right he/she may have to participate in a class action or have a trial by jury for any litigation directly or indirectly arising out of, under or in connection with this Contest.
  19. Contest Results:  For a list of Contest Winners and/or a copy of these Official Rules you can visit the Contest Website at OR send a hand-printed, self-addressed, stamped envelope (WA and VT residents need not affix return postage) stating the specific name of this Contest to Harman Professional c/o Harman International, 8500 Balboa Blvd, Northridge CA 91329.
